Welcome to The Crown Corp. ("we," "us," or "our"), a financial technology services platform offering bespoke digital asset advisory, brokerage, banking, and other financial services tailored to high-net-worth ("HNW") clients. These Terms and Conditions ("Terms") govern your access to and use of our website at www.thecrowncorp.com (the "Site"), our mobile applications (the "Apps"), and our financial services platform (the "Platform") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms constitute a legally binding agreement between you ("you," "user," or "client") and The Crown Corp., which is located at 2601 Matheson Blvd E, Unit 5, Mississauga, ON M9C 3X2, Canada. These Terms incorporate our Privacy Policy and any other agreements executed during onboarding (e.g., client advisory or brokerage agreements).

1. Eligibility

To use the Services, you must:

  • Be at least 18 years old and have the legal capacity to enter into contracts.

  • Not be prohibited from using financial services under applicable laws (e.g., U.S., Canadian, or international regulations).

  • Be a high-net-worth individual or entity meeting our eligibility criteria, as determined during our Know Your Customer ("KYC") and anti-money laundering ("AML") processes.

  • Reside in a jurisdiction where our Services are permitted.

We reserve the right to refuse or terminate access if you do not meet these criteria.

2. Services Provided

The Crown Corp. provides:

  • Digital Asset Advisory: Personalized investment advice for cryptocurrencies, NFTs, and other digital assets.

  • Brokerage Services: Facilitation of digital asset trading and transactions.

  • Banking Services: Custodial accounts, payment processing, and related financial services.

  • Other Financial Services: Tailored solutions for HNW clients, subject to separate agreements.

Services are provided "as is" and subject to availability. We may modify, suspend, or discontinue any Service at our discretion, with notice where required by law.

3. User Accounts

To access certain Services, you must create an account by:

  • Providing accurate, complete information during registration.

  • Maintaining the security of your credentials (e.g., username, password, multi-factor authentication).

  • Notifying us immediately of unauthorized access at info@thecrowncorp.com.

You are responsible for all activities under your account. We may suspend or terminate accounts for misuse, fraud, or non-compliance with these Terms.

4. User Responsibilities

You agree to:

  • Provide truthful information for KYC/AML compliance, including identity, financial, and tax details.

  • Use the Services only for lawful purposes and in compliance with applicable laws (e.g., securities, tax, and sanctions regulations in the U.S., Canada, or your jurisdiction).

  • Not engage in fraudulent, deceptive, or illegal activities, including market manipulation or unauthorized access to systems.

  • Not use the Services to store, transfer, or trade illicit funds or assets.

  • Pay all applicable fees, as outlined in your client agreement or on the Platform.

5. Fees and Payments

  • Service Fees: Fees for advisory, brokerage, or banking services are detailed in your client agreement or on the Platform. Fees may include transaction, custodial, or advisory charges.

  • Taxes: You are responsible for any taxes arising from your use of the Services (e.g., capital gains on digital asset transactions).

  • Payment Terms: Payments are due as specified in your agreement. Late payments may incur penalties or suspension of Services.

  • Digital Assets: Transactions involving cryptocurrencies or NFTs are irreversible once executed, except as required by law.

We reserve the right to modify fees with notice, as permitted by law.

6. Risks of Digital Assets

Digital asset services carry significant risks, including:

  • Market Volatility: Prices of cryptocurrencies and NFTs may fluctuate dramatically.

  • Regulatory Risks: Changes in laws may affect the legality or value of digital assets.

  • Security Risks: Hacking, phishing, or loss of private keys may result in asset loss.

  • Irreversibility: Transactions on blockchain networks are typically final and cannot be undone.

We are not liable for losses due to these risks unless caused by our gross negligence or willful misconduct. You should consult independent advisors before engaging in digital asset transactions.

7. Intellectual Property

The Site, Apps, and Platform, including all content (e.g., text, logos, software, designs), are owned by The Crown Corp. or our licensors and protected by copyright, trademark, and other laws. You may not:

  • Copy, modify, or distribute our content without permission.

  • Reverse-engineer or decompile our software.

  • Use our trademarks (e.g., "The Crown Corp.") without written consent.

You grant us a non-exclusive, worldwide, royalty-free license to use any content you submit (e.g., feedback, user-generated data) to improve or promote the Services.

8. Prohibited Activities

You may not:

  • Use the Services to violate laws, including sanctions or financial regulations.

  • Attempt to bypass our security measures or access unauthorized systems.

  • Use automated tools (e.g., bots, scrapers) to extract data from the Services.

  • Interfere with the Services’ operation (e.g., via denial-of-service attacks).

Violations may result in account suspension, termination, or legal action.

9. Disclaimers

  • No Warranty: The Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

  • No Investment Advice Guarantee: Advisory services are based on information available at the time and do not guarantee financial outcomes.

  • Third-Party Services: We are not responsible for third-party providers (e.g., blockchain networks, custodians) integrated with the Services.

  • Availability: We do not guarantee uninterrupted access to the Services, which may be affected by maintenance, technical issues, or force majeure events.

10. Limitation of Liability

To the fullest extent permitted by law:

  • The Crown Corp., its affiliates, and their respective officers, directors, and employees are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Services.

  • Our total liability for any claim is limited to the amount you paid us for the Services in the 12 months preceding the claim.

  • We are not liable for losses due to unauthorized access to your account unless caused by our gross negligence.

11. Indemnification

You agree to indemnify and hold harmless The Crown Corp., its affiliates, and their respective officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your:

  • Breach of these Terms.

  • Violation of applicable laws.

  • Misuse of the Services or third-party rights.

12. Termination

  • By You: You may terminate your account by contacting us at info@thecrowncorp.com, subject to any obligations in your client agreement (e.g., settling outstanding fees).

  • By Us: We may suspend or terminate your access for:

    • Breach of these Terms.

    • Suspected fraud, illegal activity, or non-compliance with KYC/AML requirements.

    • Regulatory or legal requirements.

  • Upon termination, your right to use the Services ceases, and we may retain your data as required by law (e.g., 7 years for financial records).

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada, or the State of New York, USA, depending on your jurisdiction, without regard to conflict of law principles.

  • Dispute Resolution: Any disputes arising from these Terms will be resolved through binding arbitration in Toronto, Canada, or Buffalo, NY, USA, under the rules of the American Arbitration Association (AAA) or the International Centre for Dispute Resolution (ICDR). You waive the right to participate in class actions.

  • Exceptions: We may seek injunctive relief in courts for intellectual property or confidentiality breaches.

14. Changes to These Terms

We may update these Terms to reflect changes in our Services or laws. We will notify you of material changes via email or Site notice at least 30 days in advance (where required). Continued use after changes constitutes acceptance.

15. Miscellaneous

  • Entire Agreement: These Terms, along with the Privacy Policy and any client agreements, constitute the entire agreement between you and The Crown Corp.

  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.

  • No Waiver: Our failure to enforce any right does not waive it.

  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.

  • Force Majeure: We are not liable for delays caused by events beyond our control (e.g., natural disasters, regulatory changes).
